FEES AGREEMENT
(TO BE DRAFTED ON BORROWER PAPER HEAD - first line of the agreement page)
This Financing Research Request and Fees, Commission Agreement ("Agreement")
is made and effective the [Date] by and between [BusinessAfrica.net, Ltd./ Africabiz
/ Dr. Quenum and Associates] ("Owner") and [Company name to be put here]
("Recipient").
1. FINANCING REQUEST
Recipient
hereby empowers Owner to research, disclose certain of its confidential and proprietary
information (the "Confidential Information") to Recipient. Confidential Information
shall include all data, financial information, financing source, and other information
disclosed or submitted, orally, in writing, or by any other media, to Recipient
by Owner, Owner's financing partner, Owner's financing source; for the amount
in US dollars (please state here amount in full figures and letters) for a duration
of (please state here duration requested for the loan)
2. FEES
Recipient hereby agrees to pay to Owner fees / commission equal to
(amount of fees in percentage of loan amount above mentioned - in figures and
full letters) when and if disclosure of Owner confidential and proprietary
information (the "Confidential Information") to Recipient results in tangible
loan disbursement to Recipient; commission, fees paid to Owner by Recipient
as a percentage hereby defined, specified of loan amount shall be paid to Owner
in full amount as hereby defined on the same date of first disbursement of said
loan to Recipient by Owner's financing partner, Owner's financing source in charge
of loan disbursement to Recipient. Against Pay Order issue by Borrower on behalf
of Owner
3. CONTRACT N°1 AND N°2 INSEPARABLE
Recipient
and Owner hereby agree that the Confidentiality agreement (Contract N°2 hereby
attached is a complete, full
and inseparable part of this Financing Research Request and Fees, Commission Agreement
("Agreement" - Contract N°1) made and effective the [Date] by and between
[BusinessAfrica.net, Ltd./ Africabiz / Dr. Quenum and Associates] ("Owner")
and [Company name to be put here] ("Recipient").

IN WITNESS WHEREOF, the parties have

CONFIDENTIALITY AGREEMENT

This Confidentiality Agreement ("Agreement") is made and effective the
[Date] by and between [BusinessAfrica.net, Ltd./ Africabiz / Dr. Quenum and Associates]
("Owner") and [Company name to be put here] ("Recipient") .
1. CONFIDENTIAL INFORMATION.
Owner proposes to disclose
certain of its confidential and proprietary information(the "Confidential
Information") defined in Contract N°1 hereby attached
to Recipient. Confidential Information shall include all data, financial information,
financing source, and other information disclosed or submitted, orally, in writing,
or by any other media, to Recipient by Owner, Owner's financing partner, Owner's
financing source.
2. RECIPIENT'S OBLIGATIONS.
A.
Recipient agrees that the Confidential Information is to be considered confidential
and proprietary to Owner and Recipient shall hold the same in confidence, shall
not use the Confidential Information other than for the purposes of this specific
loan request and business relationship with Owner, and shall disclose it only
to its officers, directors, employees, guarantor and banks with a specific need
to know. Recipient will not disclose, publish or otherwise reveal any of the Confidential
Information received from Owner to any other party whatsoever except with the
specific prior written authorization of Owner.
B. Owner is entitled
to fees, commission equals to same amount percentage as specified, defined in
Contract N° 1 herebyattachedwhen the Confidential Information provided by Owner to Recipient is disclosed
by Recipient to third party whatsoever and when such disclosure results in tangible
loan agreement and disbursement between said third party and Owner's financing
source, financing partner, Confidential Information furnished by Owner.
C. Recipient and Owner hereby agree that Financing Research Request
and Fees, Commission Agreement ("Agreement" - Contract N°1 herebyattached)
is a complete, full and inseparable part of this Confidentiality Agreement
("Agreement" - Contract N° 2) made and effective the [Date] by and between [BusinessAfrica.net, Ltd./ Africabiz / Dr. Quenum and Associates] ("Owner") and [Company name to be
put here] ("Recipient").
